Responsibilities include corporate governance matters, '33 and '34 Act compliance (filings like 10-Ks, 10-Qs, etc.), M&A transactions (from NDAs to post-closing integration), finance-related legal support, contract negotiation, and collaboration with various headquarters functions. The ideal candidate possesses a Juris Doctor from a top law school, 8+ years of relevant experience (preferably in-house at a public company), and excellent communication and organizational skills. The role requires managing multiple projects simultaneously and delivering high-quality work under pressure.

Job Description

The Opportunity: 

We are looking for a Senior Counsel attorney to support Mattel’s Corporate/Securities/Mergers & Acquisitions Group.  As part of the group, you will be a key contributor to an active practice that assists the Company with achieving significant objectives by providing high-quality legal support in all areas of corporate and securities law, and mergers & acquisitions.

What Your Impact Will Be: 

  • Corporate governance matters (e.g., research/analysis of various corporate governance matters, Board and Committee support, including the preparation and/or review of Board and Committee materials including drafting minutes, and assisting with Board and Committee meeting planning)
  • ’33 and ‘34 Act compliance (e.g., addressing matters/documents related to public securities offerings, and the preparation/review of 10-Ks, 10-Qs, 14As, 8-Ks, S-3s, S-8s, and Section 16 filings)
  • Mergers and acquisitions, joint ventures, minority investments, including executing against all stages of such transactions (e.g., nondisclosure agreements, due diligence, negotiating transaction documents, and post-closing support, including integration)
  • Finance (e.g., credit facilities, public and private securities offerings, and debt compliance)
  • State corporate law and stock exchange listing compliance
  • Contract drafting, review and negotiation (e.g., non-disclosure agreements, master services agreements, and engagement letters)
  • Supporting various headquarter functions (e.g., Treasury, Investor Relations, Financial Reporting, and Internal Audit)
     

Qualifications

What We’re Looking For: 

  • Juris Doctor degree with strong academic history from an ABA-accredited law school required; top 50 law school strongly preferred
  • At least 8+ years of experience practicing corporate/securities/mergers & acquisitions at a national or global law firm
  • Prior in-house, public company legal experience strongly preferred
  • Ability to effectively communicate legal and compliance issues verbally and in writing in a clear and understandable manner to all levels of the organization
  • Demonstrated ability to prioritize workload and focus on critical priorities independently
  • Excellent judgment and professional maturity, including strong executive presence
  • Must be both a capable leader and individual contributor, as well as an effective partner to the business
  • Demonstrated ability to manage multiple projects simultaneously and track record of effectively completing multi-task, multi-deadline, cross-functional projects, on time and on budget
  • Highly organized; meticulous; team-oriented attitude
  • Strong work ethic and ability to produce high-quality work under deadline pressure
  • Ability to inspire trust and confidence through strong interpersonal skills and effective collaboration
  • Professional Licensing
  • Good standing with at least one state bar and, if not licensed to practice in California, then a commitment to register to practice in California pursuant to California’s in-house counsel registration requirements.

The annual base salary range for this position is between $170,000 and $245,000
**This range is indicative of projected hiring range, however annual base salary will be determined based on a candidate’s work location, skills and experience.
