Join Our Dynamic Team as Assistant Company Secretary at Rank!

Are you ready to take your career to the next level in a fast-paced and exciting environment? Are you looking for a hybrid role to fit around your work/life balance? Rank is looking for a proactive and detail-oriented Assistant Company Secretary to support our critical corporate governance functions.

This is your chance to be a key player in an innovative and varied entertainment business.

  • Corporate Governance Guidance: Provide expert advice and support on corporate governance matters across the organisation, ensuring compliance and best practices.
  • Share Administration Management: Assist in managing the Group’s share administration process, liaising with Equiniti and handling employee queries. Work closely with the Group’s EBT provider to meet share award requirements and plan for the year.
  • Remuneration Committee Support: Help manage the Remuneration Committee, attend and minute meetings, and collaborate with the Group Rewards Director and Finance to ensure vesting requirements are met.
  • Subsidiary Board Governance: Work with the team to support subsidiary management, including minuting meetings, drafting governance papers, and coordinating with the business on meeting agendas.
  • Annual Report Production: Assist in producing the Group Annual Report, focusing on the Remuneration Committee section, as well as the Interim Report and shareholder circulars.
  • Meeting Preparation: Help prepare for the Group’s annual general meeting and any extraordinary general meetings as required.

Qualifications

  • A diplomatic approach and the confidence to provide support to high-profile company staff and board members, principally on the Remuneration Committee. 
  • A sound grasp of corporate governance issues including share schemes such as LTIPs.
  • Corporate Governance Institute (formerly ICSA) qualified.
  • Listed company experience with subsidiary governance expertise in offshore/ European jurisdictions and experience of working on and leading the Directors’ Remuneration Report section of the Annual Report and Accounts.
  • Gambling sector exposure is not required but is beneficial if you have this.
