The Opportunity:

In short, we help some of the world’s leading companies originate, create, execute, and realize value from deals. Through data driven insights we help our clients move in the right direction ensuring maximum value for their company during separation/integration management. 

As a part of this team, you will gain exposure not only to the top Deals experts at PwC, but also engage with clients and industry analysts globally.  You will contribute to identify, shape and execute deals that accelerate client business strategies and capture significant value.

As part of our team of problem solvers, you will analyze clients’ data, assess Deal impact, aid in vendor negotiations, assist in buy-side and sell-side diligences across various phases of a deal lifecycle - pre-sign, sign-to-close and post close.  

Your Key Responsibilities:

  • Lead the analysis and execution of vendor/customer Separation and Integration during divestitures, spin-offs, mergers and acquisitions
  • Evaluate legal, financial implications of contracts(supplier and customers) and provide strategic roadmap and guide clients during the various phases of M&A
  • Demonstrate critical thinking and an ability to bring order to unstructured problems.  
  • Communicate effectively with internal and external stakeholders including partners and client teams
  • Prepare client deliverable reports with comprehensive insights. Present data using visualization tools and powerpoint presentations to convey complex information effectively
  • Guide and train junior members of the team, fostering a collaborative and learning-oriented environment
  • Use a wide variety of tools & techniques to continuously optimize processes for efficiency and accuracy and stay updated on industry trends

Pre-Close Analysis:

Some of the responsibilities during pre-close Integration/Separation management would include (but not limited to) the following:

  • Perform contractual diligence and review sellco’s valuation
  • Evaluating vendor landscape and prioritizing next steps
  • Strategic disposition planning for the vendors/customers to help in separation/integration
  • Work with client’s function heads to come up with requirements for transfer of vendor agreements
  • Design and execute a detailed vendor engagement strategy and plan
  • Identify and evaluate TSA and rTSA needs for the client, their duration and timing
  • Identify and mitigate stranded costs and value leakage
  • Perform pre-close synergy analysis and identify cost take-out opportunities

Post-Close Analysis:

Some of the responsibilities during post-close Integration/Separation management would include (but not limited to) the following:

  • Validate Day 1 vendor transfer requirements to satisfy closing conditions
  • Work with clients to ensure Assignment and TSA consents are finalized
  • Drive synergies between BuyCo and the parent company
  • Track TSAs as per integration roadmap
  • Formulate and drive TSA Exit strategy

To qualify for the role you must have:

  •  7-10 years of industry experience in Mergers & acquisitions, thorough knowledge of, and/or proven record of success in pre-sign diligence, pre-close and post-close M&A support for clients, preferably for a global network of professional services firms, private equity or corporate organizations
  • Proven experience and understanding of various facets of merger, acquisition, spin-offs and/or divestiture transactions and extensive experience in SMO/IMO support 
  • Experience in analyzing company financials(AP, AR data); strategic planning and business reviews and growth
  • Experience assisting clients in vendor engagement post Deal, cost take out analysis, synergy creation and other such use cases to drive value 
  • Exposure to Contracts Lifecycle Management (CLM), legal / contractual due diligence preferred
  • Excellent written and verbal business communication, strong research and data analysis skills
  • Ability to work effectively under strict deadlines and utilize project management skills to manage tasks
  • Problem-solving skills - ability to analyze data sets and an aptitude for conducting quantitative and qualitative analysis using the standard suite of Microsoft Office software (Word, Excel, PowerPoint)
  • Extensive experience in creating clear and concise reports, including building data visualization dashboards and executive reports on Powerpoint
  • Experience in data visualization tools such as Tableau, Power BI and/or Excel Charts 
  • Experience in Alteryx and python scripting will be an added advantage 

Education Qualification:

  • Master’s degree in Accounting, Finance, Economics, Business Administration/Management or a related discipline
  • The ideal candidate will combine academic qualifications with a strong track record of practical experience in mergers and acquisitions, contractual due diligence and data analysis
